Les membres du conseil sont rangés dans plusieurs classes (trois au maximum selon le règlement du New York Stock Exchange), le mandat de chaque classe étant renouvelé à tour de rôle. Dans ces conditions, le vainqueur ne peut modifier brutalement la composition du conseil; ce n'est qu'au bout de trois ans, dans l'hypothèse où trois classes ont été constituées, qu'il maîtrisera la totalité des mandats.
