La clause pénale a pour fonction d'assurer l'exécution des obligations souscrites, en permettant de sanctionner un retard dans l'exécution d'une obligation ou une inexécution totale de l'obligation. On en distingue deux types de clauses pénales. Aux termes d'une clause pénale moratoire, le client peut en plus du paiement de la pénalité demander l'exécution de l'obligation principale. En vertu d'une clause pénale compensatoire, le client doit choisir entre les deux.
