Ainsi, dans le cas de la relation délégant-délégataire qui existe entre l'associé ou l'actionnaire et le gestionnaire de la société, la théorie fait ressortir les facteurs motivant l'action des gestionnaires, qui dirigent l'entreprise sans en avoir la propriété. L'associé ou l'actionnaire (le délégant) retient les services d'un gérant (le délégataire) à qui il confie la responsabilité de gérance de l'entreprise. Selon cette théorie, les deux parties sont réputées agir en fonction de leurs intérêts personnels divergents. Ainsi, le délégataire a certaines propensions personnelles (avidité, besoin de temps libre, etc.) à ne pas toujours agir spontanément au mieux des intérêts du délégant.
