Le troisième et dernier groupe d'opérations désignées dans la littérature économique américaine par l'expression going private transactions a pour objectif de mettre fin à l'existence de l'entreprise concernée en tant que société cotée faisant appel public à l'épargne, et se traduit par le rachat de la totalité des titres détenus par le public. Ainsi, à la différence des deux cas précédents dans lesquels l'opération de fermeture consistait à consolider les liens préexistants entre deux entreprises distinctes, il s'agit seulement dans ce dernier cas de restructurer l'actionnariat d'une seule entreprise, pour en faire une société à capital fermé (i.e. non cotée), entièrement ou principalement détenue par ses dirigeants.
