A subpurchase creates a privity of estate between the original vendor and the subpurchaser, and a relationship of vendor and purchaser with respect to the parties to the subcontract. Where a purchaser subcontracts to sell his interest under a contract of sale to a subpurchaser, the transaction creates the relationship of vendor and purchaser and does not establish a fiduciary relationship. The rule of "caveat emptor" applies. An agreement or contract to sell is transformed into an agreement of sale when the purchaser assumes liability for the purchase price and responsibility for any breach of the contract.
