This click-wrap licence Agreement is a user licence(for either a single or a corporate licensee) for software either downloaded from a [website] or loaded from disk, where the licence terms are accepted on screen by following a "click to accept" procedure. The terms of the Click-Wrap Licence must be brought to the attention of the user who should acknowledge acceptance by clicking on the appropriate button(s) following the licence agreement before installing the software.

The Agreement can be used as a click-wrap license displayed on screen and accepted during product installation. It can also be used as a Shrink-Wrap License in product packaging.

It should be noted however that even though courts have ruled some clickwrap licenses to be enforceable contracts, it does not follow that every term of every clickwrap license is enforceable. Clickwrap licenses must still meet the criteria for enforceability of a unilateral form contract.

For example, merely browsing or visiting a webpage may be sufficient to communicate assent to a set of terms linked off of it. In some circumstances, the downloading of website content may also constitute valid communication of acceptance.

A browse-wrap license is part of a website and users of the site assent to the contract when visiting it.[1] This differs from other types of web contracts such as shrink-wrap licenses and clickwrap agreement. Examples below explain the nature of browse-wrap agreements and how they are considered by courts.

A browse-wrap agreement can be formed by use of a web page or a hyperlink or small disclaimer on the page. It may only be enforced if the browsing user assents to it. For assent to occur the browse-wrap agreement should be conspicuous, state that there is an agreement, and provide where it can be located. Courts examine the enforceability of browse-wrap agreements on a case-by-case basis, and there are no "bright-line" rules on whether a given agreement is sufficiently conspicuous.

Shrink-wrap Agreement or License : A contractual agreement that a user views and agrees to(by removing software cellophane wrapping or other packaging, which indicates the user's consent to the agreement's terms) as a condition of using the software.

The term "shrink-wrap" derives from the fact that such agreements used to be included on the outside of the software packaging, visible through the clear plastic shrink-wrap with which the package was sealed.

The terms of agreement are contained on or in a shrinkwrapped package. These terms usually provide that if the customer opens the shrinkwrap package, he or she is deemed to have accepted the contract. They are common in software packages and may not be enforceable in certain cases.
