En France ou en Belgique, un groupe d'actionnaires minoritaires d'une société anonyme possédant le tiers des actions plus une peut s'opposer à des modifications statutaires proposées par le conseil d'administration ou par un groupe d'actionnaires majoritaires. On dit d'un groupe d'actionnaires qui déteint au moins cette fraction du capital social qu'il dispose d'une minorité de blocage. En France et en Belgique également, un ou plusieurs actionnaires représentant un pourcentage donné du capital social peuvent demander en justice la désignation d'un expert (dit expert de minorité) chargé de présenter un rapport sur une ou plusieurs opérations de gestion.
