A conventional clause or condition of a contract for the sale of real estate.

It is incumbent upon the vendor to deliver possession of the premises to the vendee in accordance with the terms of the contract of sale. The delivery of the deed without delivery of the possession of the premises would not constitute full performance of the vendor's obligation to convey, and if the land is held adversely to the vendor this will constitute a defect in the title warranting its rejection by the purchaser.

If A, contemplating the purchase of land from S, grants a mortgage of that land to M before receiving delivery of the deed from S, and subsequently receives a deed, but gives back a mortgage to S as part of the purchase price, the feeding of the estoppel will give M only a title which is subject to S’ s vendor's lien and mortgage. In this example, S is a stranger to the mortgage deed from A to M, and is not affected by any estoppel which M could raise against A. [Anger & Honsberger, 2nd ed., 1985, p. 1475].

Delivery may be absolute or conditional and if the latter, it will be said to be delivery "in escrow" if the deed is to be held by someone not a party to it until some condition is performed by the party to be benefitted by the deed and upon fulfilment to take effect.(Lamont, "Real Estate Conveyancing", 1976, p. 85).

Under the old law, a deed could not be delivered, as an escrow, direct to the grantee. Delivery in escrow was made to a third party-the first delivery-and, upon the fulfilment of the condition, the third party would deliver the deed to the grantee-the second delivery. It seems that the old law no longer applies. The more modern approach is to treat the question as one of fact; even where there is delivery to the grantee, the intention of the parties must be ascertained, from the transaction as a whole, as to whether the delivery was absolute or conditional.(Mendes da Costa and Balfour, p. 401)
