Equity arbitration relies on both equitable ideals and universal common law principles that have developed through the years. For example, a valid contract requires that one party made an offer, the other accepted it, and something of value was exchanged. If the parties never reached an agreement, there is no contract... In equitable arbitration, the arbitrator doesn’t have to follow legal technicalities or enforce parts of a contract that don’t make sense. The arbitrator can ignore certain terms that would make the outcome unfair if they were strictly enforced.

Although there are many executory contracts equity will not enforce specifically, contracts for the sale of land have generally been held to be specifically enforceable. Maitland had said that "specific performance applies to agreements for the sale or lease of land as a matter of course" and this conclusion has been reiterated by the Supreme Court of Canada. The traditional view that ordinarily damages would not be an adequate remedy for breach of a contract for the sale of land is based on the assumption that each parcel of land is unique and thus damages would not permit the plaintiff purchaser to find a substitute.(Anger and Honsberger, 2nd, p. 1153)

If there is differentiation, it is that extinguishment refers to the process, and extinction to the resultant state. Split Equity Contract similar to the en viager method used in France, involves the actual sale of the property by the homeowner. There is no mortgage. The homeowner retains the right to rent-free occupancy for a specified number of years or life. The purchase price would be determined by the expected future value of the property discounted by its rent-free use, interest, and the specific or expected time lapse before actual possession. This could be a life mortality consideration. The proceeds of the sale could be invested to yield income or, alternatively, used to buy a Life Annuity from an insurance company.
