Standing Offers. Standing Offers are used to meet recurring needs when departments or agencies repeatedly order the same goods or services. A request for standing offer(RFSO) is used to solicit standing offers. Suppliers who meet the evaluation criteria stated in the RFSO become pre-qualified suppliers and holders of standing offers. A standing offer is an offer from a potential supplier to provide goods and/or services at pre-arranged prices, under set terms and conditions, when and if required. It is not a contract until the government issues a "call-up" against the standing offer. A. And "warranty". Originally the same word, "warranty" and "guarantee"(or "-ty") arrived in the language through different medieval French dialects. "Guarantee" is the broader term, ordinarily meaning either(1) "the act of giving a security; the undertaking with respect to(a contract, performance of a legal act, etc.) that it shall be duly carried out, "or(2) "something given or existing as security, e. g., for fulfillment of an engagement or condition"(OED). "Warranty", as a legal term, has slightly more specific and elaborate senses :(1) "a covenant(either express or implied) annexed to a conveyance of realty by which the seller warrants the security of the title conveyed";(2) "an assurance, express or implied, given by the seller of goods, that he will be answerable for their possession of some quality attributed to them"(the seller hereby disclaims all warranties) ;or(3) "in a contract for insurance, an engagement by the insured that certain statements are true or that certain conditions shall be fulfilled"(OED). B. And "guaranty". The distinction in BrE once was that the former is the verb, the latter the noun. Yet "guarantee" is now commonly used as both n. & v. t. in both AmE and BrE. In practice, "guarantee", n., is the usual term, seen often, for example, in the context of consumer warranties or other assurances of quality or performance. "Guaranty", in contrast, is now used primarily in financial and banking contexts in the sense "a promise to answer for the debt of another. ""Guaranty" is now rarely seen in nonlegal writing, whether in G. B. or in the U. S. Some legal writers prefer "guaranty" in all nominal senses. 6, record 32, English, - warranty%20period

Under the general law of contract, said Lord Wilberforce, acceptance of a repudiatory breach does not bring about rescission ab initio’. It follows, therefore, that if an innocent party, the victim of a breach of contract that is sufficiently important, chooses to treat the contract as discharged, for example, where goods sold to a buyer are defective and the buyer rejects them, his conduct is not to be looked upon as involving rescission of the contract. 2, record 33, English, - rescission%20ab%20initio

"carriage paid to" means that the seller delivers the goods to the carrier nominated by him but the seller must in addition pay the cost of carriage necessary to bring the goods to the named destination. This means that the buyer bears all risks and any other costs occurring after the goods have been so delivered. "carrier" means any person who, in a contract of carriage, undertakes to perform or to procure the performance of transport, by rail, road, air, sea, inland waterway or by a combination of such modes. If subsequent carriers are used for the carriage to the agreed destination, the risk passes when the goods have been delivered to the first carrier. The CPT term requires the seller to clear the goods for export. This term may be used irrespective of the mode of transport including multimodal transport. 2, record 39, English, - carriage%20paid%20to

Normally, a party enters into a contract with a view to obtaining the consideration provided by the other : for example, the buyer wants the goods and the seller the price. In the United States it has been said that this is essential, and that "nothing is consideration that is not regarded as such by both parties. "But English courts do not insist on this requirement and often regard an act or forbearance as the consideration for a promise even though it was not the object of the promisor to secure it. They may also regard the possibility of some prejudice to the promisee as a detriment without regard to the question whether it has in fact been suffered. These practices may be called inventing consideration... 1, record 43, English, - invented%20consideration

"delivered duty unpaid" means that the seller delivers the goods to the buyer, not cleared for import, and not unloaded from any arriving means of transport at the named place of destination. The seller has to bear the costs and risks involved in bringing the goods thereto other than, where applicable, any "duty"(which term includes the responsibility for and the risks of the carrying out of customs formalities, and the payment of formalities, customs duties, taxes and other charges) for import in the country of destination. Such "duty" has to be borne by the buyer as well as any costs and risks caused by his failure to clear the goods for import in time. However, if the parties wish the seller to carry out customs formalities and bear the costs and risks resulting therefrom as well as some of the costs payable upon import of the goods, this should be made clear by adding explicit wording to this effect in the contract of sale. 2, record 46, English, - delivered%20duty%20unpaid

"delivered at frontier" means that the seller delivers when the goods are placed at the disposal of the buyer on the arriving means of transport not unloaded, cleared for export, but not cleared for import at the named point and place at the frontier, but before the customs border of the adjoining country. The term "frontier" may be used for any frontier including that of the country of export. Therefore, it is of vital importance that the frontier in question be defined precisely by always naming the point and place in the term. However, if the parties wish the seller to be responsible for the unloading of the goods from the arriving means of transport and to bear the risks and costs of unloading, this should be made clear by adding explicit wording to this effect in the contract of sale. This term may be used irrespective of the mode of transport when goods are to be delivered at a land frontier. When delivery is to take place in the port of destination, on board a vessel or on the quay(wharf), the DES or DEQ terms should be used. 3, record 47, English, - delivered%20at%20frontier

4, record 47, French, - rendu%20fronti%C3%A8re

"Contract" is sometimes used in a sense similar to that of "agreement" in its primary sense, namely, the common intention of two persons with regard to a certain subject. Thus, the phrase "contract of sale" frequently denotes the ordinary transaction of A delivering goods to B and B paying the price to A at the same instant. This is a sale, rather than a contract of sale, for "contract" usually implies a promise to be performed at a future time.(Jowitt, p. 450) 1, record 59, English, - contract%20of%20sale

Absolute and Conditional Sales. The parties being free, both at common law and under the Act, to make whatever contract they chose, subject only to the limitations of illegality and possibility, they can insert into a contract of sale of goods such terms or conditions as they think fit. In the absence of any such express conditions or the possibility of implying into the contract any conditions from the course of dealing of the parties, trade usage or custom, it might be thought that a contract of sale of goods would be absolute.(Dobson, 2nd ed., 1979, p. 157) 1, record 61, English, - absolute%20sale

"free alongside ship" means that the seller delivers when the goods are placed alongside the vessel at the named port of shipment. This means that the buyer has to bear all costs and risks of loss of or damage to the goods from that moment. The FAS term requires the seller to clear for export. This is a reversal from previous Incoterms versions which required the buyer to arrange for export clearance. However, if the parties wish the buyer to clear the goods for export, this should be made clear by adding explicit wording to this effect in the contract of sale. This term can be used only for sea or inland waterway transport. 4, record 70, English, - free%20alongside%20ship

4, record 70, French, - franco%20le%20long%20du%20navire

A washout is not a cancellation of a contract. It is when one party seeks to terminate the contract before its expiry and pays out the difference between the original contract price and the market price at the time of the washout. It is not a default; it is an agreement between the two parties not to take a contract through to full execution, and to negotiate a payment to compensate the other party for any costs for early termination of the contract. Either the buyer or seller can seek a washout - if no agreement is reached on the washout price, the contract stands. 3, record 77, English, - contract%20wash%20out

"free carrier" means that the seller delivers the goods, cleared for export, to the carrier nominated by the buyer at the named place. It should be noted that the chosen place of delivery has an impact on the obligations of loading the goods at that place. If delivery occurs at the seller’s premises, the seller is responsible for loading. If delivery occurs at any other place, the seller is not responsible for unloading. "ex works" means that the seller delivers when he places the goods at the disposal of the buyer at the seller's premises or another named place(i. e. works, factory, warehouse, etc.) not cleared for export and not loaded on any collecting vehicle. This term thus represents the minimum obligation for the seller, and the buyer has to bear all costs and risks involved in taking the goods from the sellers’ premises. However, if the parties wish the seller to be responsible for the loading of the goods on departure and to bear the risks and all costs of such loading, this should be made clear by adding explicit wording to this effect in the contract of sale.

7, record 92, French, - %C3%A0%20l%27usine

Total distribution resembles a refinement of multimodal transport. All transport operations can now be performed under a multimodal transport contract and the co-ordination/logistics of the cargo movements can be monitored by an operator, the total distribution operator(TDO). Based on the various sale contracts between the buyer and the sellers, the TDO will take over the goods at the premises of each seller and consolidate the shipments into unit loads in a warehouse or platform before sending them via various modes of transport to the buyer's country. There, the TDO will arrange to separate the transport units and deliver the goods in appropriate shipments to their final destinations. 1, record 97, English, - total%20distribution%20operator

There is one class of goods, it seems, in respect of which there may be a sale even though they are not existing at the time of the contract. The legal property in such goods can pass to the buyer without any need to conform to the provisions of the Act relating to the transfer of property. Such goods are those which have "potential existence". The distinction existed at common law between future goods to be manufactured or acquired by the seller, the position with respect to which has been considered above, and future goods in which the seller had what was called "a potential property". Such goods comprehended things which were the natural produce or expected increase of something already owned or possessed by the seller, for example, hay to be grown in a field, wool to be grown on sheep owned by the seller, or milk to be yielded by the seller's cows in the coming month. 1, record 99, English, - potential%20property

It might have been thought that in a sale of specific goods there would be an implied condition on the part of the seller that the goods were in existence at the time when the contract was made.
