It follows, therefore, that if an innocent party, the victim of a breach of contract that is sufficiently important, chooses to treat the contract as discharged, for example, where goods sold to a buyer are defective and the buyer rejects them, his conduct is not to be looked upon as involving rescission of the contract. 2, record 13, English, - rescission%20ab%20initio

Normally, a party enters into a contract with a view to obtaining the consideration provided by the other : for example, the buyer wants the goods and the seller the price. In the United States it has been said that this is essential, and that "nothing is consideration that is not regarded as such by both parties. "But English courts do not insist on this requirement and often regard an act or forbearance as the consideration for a promise even though it was not the object of the promisor to secure it. They may also regard the possibility of some prejudice to the promisee as a detriment without regard to the question whether it has in fact been suffered. These practices may be called inventing consideration... 1, record 17, English, - invented%20consideration

The Export Development Corporation seeks the active involvement of banks and other financial institutions in supporting Canadian exports; bank participation is encouraged wherever possible. Such instances include the financing of downpayments, interest during construction, local cost financing, as well as direct participation in the financing of the Canadian goods and services being exported. This bank involvement may take the form of co-lending, where both EDC and the banks are jointly involved in the loan negotiation; participation, where EDC invites a bank into a loan that has already been negotiated; and parallel lending, where both EDC and the bank make separate loan agreements with the foreign borrower in connection with a single transaction. These arrangements occur during or after the loan negotiation stage; the exporter is usually not a party to this process beyond the choosing of the commercial bank. 1, record 40, English, - bank%20participation

1, record 40, French, - participation%20bancaire
