Under the common law rule, a class gift had to be able to vest within the perpetuity period in its entirety. If the interests of some members might vest outside the period, even though the interests of other members would vest in time, the gift was wholly void. The statutes, however, provide that in such a situation the class may be split, by excluding those persons whose interests do not in fact vest in time. As at common law, the class closing rules are permitted to operate first and they may save the gift. Under the statutes one then uses the wait and see principle and the age reduction provision. After that class splitting is permitted.(Anger & Honsberger, 2nd ed., 1985, p. 536).

Decision taken for the purpose of defending a company from possible takeover attempts, normally resulting in amendments to company statutes that establish a reinforced majority vote in order to approve a takeover operation. Measures include contracts with competitors and the purchase of companies operating in the same sector as the company attempting to takeover, therefore resulting in a monopoly situation in the event of purchase. Other more specific measures include golden parachutes, poison pills and even scorched earth techniques. Even if all company directors agree to such measures, certain minority shareholders may object, due to the fact that by avoiding a takeover they also lose the chance to sell their shares at a higher price.

One price structure that is generally consistent with economic efficiency is referred to as the two or, more generally, the multi-block tariff. This approach is based on the fact that efficiency requires that price equal marginal cost only for the last unit purchased, so that the price of intramarginal units can be adjusted. For example, under a declining cost situation, with a two-part tariff structure there could be a lump sum or hookup charge and then all units sold would be priced at marginal cost. However, too high a lump sum charge may prevent some customers from purchasing service at all. To avoid this problem a multi-block declining tariff could be used. The last or "tailing" block rate would be set at marginal cost.
