Do not confuse "warranty" and "guaranty". Record number: 6, Textual support number: 2 OBS
guarantee. A. And "warranty". Originally the same word, "warranty" and "guarantee"(or "-ty") arrived in the language through different medieval French dialects. "Guarantee" is the broader term, ordinarily meaning either(1) "the act of giving a security; the undertaking with respect to(a contract, performance of a legal act, etc.) that it shall be duly carried out, "or(2) "something given or existing as security, e. g., for fulfillment of an engagement or condition"(OED). "Warranty", as a legal term, has slightly more specific and elaborate senses :(1) "a covenant(either express or implied) annexed to a conveyance of realty by which the seller warrants the security of the title conveyed";(2) "an assurance, express or implied, given by the seller of goods, that he will be answerable for their possession of some quality attributed to them"(the seller hereby disclaims all warranties) ;or(3) "in a contract for insurance, an engagement by the insured that certain statements are true or that certain conditions shall be fulfilled"(OED). B. And "guaranty". The distinction in BrE once was that the former is the verb, the latter the noun. Yet "guarantee" is now commonly used as both n. & v. t. in both AmE and BrE. In practice, "guarantee", n., is the usual term, seen often, for example, in the context of consumer warranties or other assurances of quality or performance. "Guaranty", in contrast, is now used primarily in financial and banking contexts in the sense "a promise to answer for the debt of another. ""Guaranty" is now rarely seen in nonlegal writing, whether in G. B. or in the U. S. Some legal writers prefer "guaranty" in all nominal senses. 6, record 6, English, - warranty%20period

It is sometimes difficult to determine whether a statement is a representation inducing the other party to contract, or a term or stipulation of the contract. It is the terms which give content to the parties’ agreement, and questions of whether a contract has been performed or breached commonly depend on ascertainment and interpretation of the terms agreed. Terms may be express, stated in the contract, or imported by reference to some other document where they are set out in full, or implied into the contract, by common law, by custom and usage, by statute, and in some other ways.(Walker, p. 1211) 2, record 11, English, - term

In addition to the terms which the parties have expressly adopted, there may be other terms imported into the contract, these latter being generally known as implied terms, though this nomenclature is misleading in that it covers a number of dissimilar notions. As a general rule, the courts will enforce not only the terms expressly agreed between the parties, but also those which are to be logically implied from those express terms.... Even where a term may not be logically implied from the words used, the law admits of certain other terms to be implied as follows :(1) terms which the parties probably had in mind but did not express;(2) terms which the parties, whether or not they actually had them in mind, would probably have expressed if the question had been brought to their attention; and(3) terms that, whether or not the parties had them in mind or would have expressed them if they had foreseen the difficulty, are implied rules of law.(9 Hals., 4th ed., p. 224) 1, record 16, English, - implied%20term

System under which any outstanding items at a particular point in time are deleted from an order and cancelled. Thus clerical systems are not impeded by balances and the purchaser is free to buy elsewhere or re-order at a later date. The term is sometimes used if the contract has a specified or implied completion date. After that date, no further deliveries will be accepted. An example of this may be when goods have been ordered specifically for a seasonal trade. 1, record 28, English, - automatic%20cancellation

An «implied contract» is inferred by the law as a matter of reason and justice from the act or conduct of the parties. An implied contract may arise where one party, without being requested to do so, renders services under circumstances indicating that he or she expects to be paid thereof, and the other party knowing the circumstances, avails himself of the benefit of those services. An implied contract is an agreement which legitimately can be inferred from the intention of the parties as evidenced by circumstances and ordinary course of dealing and common understanding.(Black's Law Dictionary, cited in note 16 of section 5. 16. 5 of the "Guide de la détermination de l'admissibilité"). 1, record 29, English, - implied%20contract%20of%20service
