The CSA [Canadian Securities Administrators] first published proposed changes to the syndicated mortgage regime on March 8, 2018. These proposals outlined the CSA's intention to exclude syndicated mortgages from the prospectus and registration exemptions for mortgages in the jurisdictions where those exemptions are currently available. These proposals also included changes to the private issuer prospectus exemption and additional requirements to the offering memorandum prospectus exemption, including introducing a condition that issuers of syndicated mortgages must deliver property appraisals prepared by an independent, qualified appraiser.

Les ACVM [Autorités canadiennes en valeurs mobilières] ont publié les projets initiaux de modification du régime de placement de créances hypothécaires syndiquées le 8 mars 2018. Elles y indiquaient leur intention d'éliminer des dispenses de prospectus et d'inscription pour le placement de ces créances dans les territoires où ces dispenses sont actuellement offertes. Ces projets de modification prévoyaient aussi des changements à la dispense de prospectus pour l'émetteur fermé de même que l'introduction de conditions supplémentaires à la dispense pour placement au moyen d'une notice d'offre, dont celle que les émetteurs de ces créances remettent un rapport d'évaluation de l'immeuble visé qui soit établi par un évaluateur qualifié indépendant.
