A stalking horse bid is an initial proposal to buy an asset from a distressed company(most often one that is bankrupt or in bankruptcy protection). Usually, the company or its receiver will select a buyer willing to make an offer. The idea is to establish a minimum price for the asset, by getting a first bid out in the open. This keeps lowball offers off the table and sets up a competitive bidding process. The stalking horse bidder usually gets a break fee if it doesn’t end up as the eventual winner.

The Price Pooling Program provides a price guarantee that protects marketing agencies and producers against unanticipated declines in the market price of their products. Program participants use the price guarantee as security in obtaining credit from lending institutions. It also provides equal returns to producers for products of like grades, varieties and types. Producers receive an initial payment when they deliver grain to a primary elevator. The level of this initial payment is set by the Canadian Government and is a government-guaranteed price to the producer. The initial payment for each pool account is usually set at what is regarded as a "safe" level and varies from year-to-year according to market conditions.... The net value of grain in each pool account is determined after all grain has been sold and all costs involved in marketing have been deducted. These costs include interest, insurance, storage, terminal elevators handling charges, and the Board's own operating costs. They do not include rail freight costs from primary elevators to terminals or primary elevator handling charges. These costs are deducted from producers’ initial payment when grain is delivered.
