Equity arbitration relies on both equitable ideals and universal common law principles that have developed through the years. For example, a valid contract requires that one party made an offer, the other accepted it, and something of value was exchanged. If the parties never reached an agreement, there is no contract... In equitable arbitration, the arbitrator doesn’t have to follow legal technicalities or enforce parts of a contract that don’t make sense. The arbitrator can ignore certain terms that would make the outcome unfair if they were strictly enforced. 3, record 13, English, - equitable%20arbitration

guarantee. A. And "warranty". Originally the same word, "warranty" and "guarantee"(or "-ty") arrived in the language through different medieval French dialects. "Guarantee" is the broader term, ordinarily meaning either(1) "the act of giving a security; the undertaking with respect to(a contract, performance of a legal act, etc.) that it shall be duly carried out, "or(2) "something given or existing as security, e. g., for fulfillment of an engagement or condition"(OED). "Warranty", as a legal term, has slightly more specific and elaborate senses :(1) "a covenant(either express or implied) annexed to a conveyance of realty by which the seller warrants the security of the title conveyed";(2) "an assurance, express or implied, given by the seller of goods, that he will be answerable for their possession of some quality attributed to them"(the seller hereby disclaims all warranties) ;or(3) "in a contract for insurance, an engagement by the insured that certain statements are true or that certain conditions shall be fulfilled"(OED). B. And "guaranty". The distinction in BrE once was that the former is the verb, the latter the noun. Yet "guarantee" is now commonly used as both n. & v. t. in both AmE and BrE. In practice, "guarantee", n., is the usual term, seen often, for example, in the context of consumer warranties or other assurances of quality or performance. "Guaranty", in contrast, is now used primarily in financial and banking contexts in the sense "a promise to answer for the debt of another. ""Guaranty" is now rarely seen in nonlegal writing, whether in G. B. or in the U. S. Some legal writers prefer "guaranty" in all nominal senses. 6, record 25, English, - warranty%20period

Courts have used the word "consideration" with many different meanings. It is often used merely to express the legal conclusion that a promise is enforceable. Historically, its primary meaning may have been that the conditions were met under which an action of assumpsit(an early form of contract action) would lie. It was also used as the equivalent of the "quid pro quo" required in an action of debt. A seal, it has been said, imports a consideration, although the law was clear that no element of bargain was necessary to enforcement of a promise under seal. On the other hand, consideration has sometimes been used to refer to almost any reason asserted for enforcing a promise, even though the reason was insufficient(as in) promises in consideration of love and affection, illegal consideration, past consideration, and consideration furnished by reliance on a gratuitous promise where in fact there has been no consideration at all.(Yogis, 1983, p. 47). 2, record 33, English, - consideration

The judges all refer to the principal' s holding out the agent, of apparent authority to contract as he did, of making him an ostensible principal. That contract involved, in my view, an obligation on the part of Devon Lumber to use its best effort to fill as expeditiously as possible those purchase orders received by it from East Coast. I am satisfied that until May 17 that obligation had been met. But there could be no legal justification for Mr. Gill' s on that day, merely because East Coast indicated that it would claim a charge-back, unilaterally renouncing his company's further then-standing obligations. His doing so amounted, in my opinion, to at least a technical breach of his agreement with East Coast.(Recueil des arrêts du Nouveau-Brunswick, Maritime Law Book, 90 R. Doctrines of law are systematic formulations of legal principles, rules, conceptions, and standards with respect to particular situations, or types of cases, or fields of the legal order, in logically interdependent schemes, whereby reasoning may proceed on the basis of the scheme and its logical implications. Examples are the doctrine of consideration in contract, the doctrine of personal bar, and the doctrine of "respondeat superior". The development and formulation of doctrines are the work of judges and jurists, not of legislation, which treats of particular rules only.("Oxford Companion to Law", 1980, p. 371). 1, record 52, English, - doctrine

A purchaser under contract to buy land had... at common law only a right to damages if his vendor broke the contract. But in equity he had a right to compel his vendor to convey the land itself. This right to specific performance created a right in the land, a species of equitable property right. Therefore, if A agreed to sell land to B,... B was equitable owner from the time of the contract, and could enforce his equitable right to the land against anyone except a "bona fide" purchaser of a legal estate without notice of the contract.(Megarry & Wade, 4th ed., 1975, p. 132) 1, record 53, English, - equitable%20property%20right

In English law, a promise is not, as a general rule, binding as a contract unless it is either made under seal or supported by some "consideration". The purpose of the doctrine of consideration is to put some legal limit on the enforceability of agreements even where they are intended to be legally binding and are not vitiated by some factor such as mistake, misrepresentation, duress or illegality.... The present position therefore is that English law limits the enforceability of agreements not under seal by reference to a complex and multifarious body of rules known as "the doctrine of consideration. The Union of Northern Workers(UNW) or the Northwest Territories(NWT) Public Service Association as it was known then, began organizing employees of the new Territorial Government in 1969. In 1988, the Government of Northwest Territories(GNWT) passed the Union of Northern Workers Act which officially changed the name of the organization and recognized the UNW as the bargaining agent for its members working for the government. The UNW is a component(partner) of the Public Service Alliance of Canada(PSAC). The PSAC provides the UNW and its members with some specialized services. They do organizing drives, lobby governments at the federal level, provide legal advice, and representation in arbitrations. The UNW provides direct service to its members, representing them in job appeals, grievances and everyday workplace problems. UNW also prepares bargaining demands for contract negotiations. There is one class of goods, it seems, in respect of which there may be a sale even though they are not existing at the time of the contract. The legal property in such goods can pass to the buyer without any need to conform to the provisions of the Act relating to the transfer of property. Such goods are those which have "potential existence". The distinction existed at common law between future goods to be manufactured or acquired by the seller, the position with respect to which has been considered above, and future goods in which the seller had what was called "a potential property". Such goods comprehended things which were the natural produce or expected increase of something already owned or possessed by the seller, for example, hay to be grown in a field, wool to be grown on sheep owned by the seller, or milk to be yielded by the seller's cows in the coming month. 1, record 80, English, - potential%20property

On écrit parfois : «OMNIA PRAESUMUNTUR CONTRA PROFERENTEM». 4, record 85, French, - r%C3%A8gle%20%C2%ABcontra%20proferentem%C2%BB

These clauses are called protective provisions, trust deed restrictions, or covenants by the company. They appear in a legal instrument variously called a trust deed or deed or trust and mortgage in the case of a mortgage bond secured by assets, or a trust indenture in the case of a corporate debenture. They are essentially safeguards placed in the contract to guard against any weakening in the position of the security holder. 2, record 95, English, - trust%20deed%20restriction

3, record 95, French, - restriction%20de%20l%27acte%20de%20fiducie
