As the essential elements of the doctrine of ostensible authority are: (1) representations by the principal; and (2) justifiable reliance upon these by a third-party resulting in his change of position or injury, a sub-purchaser who, without further inquiry, accepts his sub-vendor’s statement that he is the agent of the head-vendor, must assume the risk of such statement being inaccurate. A subpurchase creates a privity of estate between the original vendor and the subpurchaser, and a relationship of vendor and purchaser with respect to the parties to the subcontract. Where a purchaser subcontracts to sell his interest under a contract of sale to a subpurchaser, the transaction creates the relationship of vendor and purchaser and does not establish a fiduciary relationship. The rule of "caveat emptor" applies. A subpurchase creates between the original vendor and subpurchaser a privity of estate, but does not, in the absence of agreement, create a privity of contract.(92 C. J. S., p. 202)
