A subpurchase creates a privity of estate between the original vendor and the subpurchaser, and a relationship of vendor and purchaser with respect to the parties to the subcontract. Where a purchaser subcontracts to sell his interest under a contract of sale to a subpurchaser, the transaction creates the relationship of vendor and purchaser and does not establish a fiduciary relationship. The rule of "caveat emptor" applies. A subpurchase creates between the original vendor and subpurchaser a privity of estate, but does not, in the absence of agreement, create a privity of contract.(92 C. J.
