Through this program, the CIRB [Canadian Industrial Relations Board] resolves labour relations issues by exercising its statutory powers relating to the application and interpretation of Part I(Industrial Relations), and certain provisions of Part II(Occupational Health and Safety), of the Code. The deal protection measures are often softened by fiduciary-out clauses that provide the target corporations with an escape hatch. The provision protects the directors of a target company from having to choose between violating their fiduciary obligations to shareholders and violating a purchase agreement.
