Le chantage financier(«Greenmail») constitue une tactique par laquelle un investisseur, auteur du chantage(le «Greenmailer»), commence par accumuler subtilement des actions de la cible au prix du marché sans payer de prime de contrôle, mettant ainsi un pied dans la société(«Toe Hold»). Puis, une fois devenu un actionnaire important de la cible, l'auteur du chantage menace d’en prendre le contrôle. Decision taken for the purpose of defending a company from possible takeover attempts, normally resulting in amendments to company statutes that establish a reinforced majority vote in order to approve a takeover operation. Measures include contracts with competitors and the purchase of companies operating in the same sector as the company attempting to takeover, therefore resulting in a monopoly situation in the event of purchase. Other more specific measures include golden parachutes, poison pills and even scorched earth techniques.
