A split-off is a form of corporate divestiture that takes place when a company turns one of its subsidiaries into an independent company. The "parent" company does this by issuing stock of the subsidiary as a distribution to holders of, and in redemption of, some of the parent corporation's stock.

Dans la scission-échange, il y a non seulement partage du patrimoine, mais aussi division du groupe d’actionnaires. Pour ce faire, la société même offre à ses actionnaires d’échanger l’ensemble ou une partie de leurs actions contre celles de la filiale. C’est un échange facultatif de titres d’une filiale contre les titres de la société dans le cadre d’une offre publique de rachat réalisée par la société sur son propre capital.

La doctrine fiscale désigne cette technique par le mot fractionnement, mais celui-ci est principalement utilisé au Canada pour désigner la division d’actions.

De même, il peut y avoir des «rompus de souscription» lorsqu’un porteur de titres doit acheter ou vendre des droits parce que le nombre d’actions qu’il possède (et donc de droits qui y sont attachés) ne correspond pas à un nombre entier d’actions nouvelles qu’il peut acquérir.
