Record 4 2015-04-30

English

Subject field(s)
  • Law of Contracts (common law)
CONT

The language employed by the members of the court in this case is the language of estoppel. The judges all refer to the principal's holding out the agent, of apparent authority to contract as he did, of making him an ostensible principal. It is suggested, however, that another way of looking at this case is by saying that once a man is put into a position of manager of a business which normally or usually carries with it the power to transact certain kinds of legal acts, then such a manager has authority to do whatever is so normal or usual.

Where the alleged principal does not exist, it may be easy to infer that the agent intended to assume personal liability .... An agent is therefore not a contracting party merely because he purported to act for a non-existent principal: the question is one of intention in each case.

An undisclosed principal is one of whose existence the third party is unaware, so that the third party does not know that the person with whom he is dealing is anybody's agent.
